By using any part of our services, including browsing our website, communicating with our team, or entering into a service agreement with us, you acknowledge and agree to be bound by the following Terms. 1. Overview
Designodin is a digital solutions brand operated under WDS LLC, in partnership with select service providers. We specialize in comprehensive e-commerce solutions primarily focused on Shopify, including but not limited to: custom store development, branding and design services, CRM setup, business automation tools, digital infrastructure consulting, professional printing services, and U.S. company formation support. Our goal is to empower entrepreneurs and businesses to grow effectively and sustainably in the digital economy.
2. Use of Services
You agree to access and use our services solely for lawful, authorized purposes, and in full compliance with all applicable local, national, and international laws. Misuse of our services includes, but is not limited to: attempting to gain unauthorized access to our systems or third-party systems we use; distributing viruses or malicious code; violating intellectual property rights; or using our services in any fraudulent or harmful manner. We reserve the right to restrict or terminate your access to our services if such misuse is identified.
3. Client Responsibilities
Clients engaging with Designodin are expected to:
– Provide accurate, up-to-date, and complete information during onboarding and throughout the project lifecycle.
– Actively communicate and respond in a timely manner to emails, messages, or requests for input.
– Supply any required content (such as branding assets, text, imagery, or login credentials) with proper licensing and copyright ownership.
– Understand that delays in client response or missing information may impact project timelines and delivery.
Failure to uphold these responsibilities may result in project delays, additional charges, or service suspension.
4. Payments & Invoicing
– Our services are offered under different billing models depending on the type and scope of work: flat fees, milestone-based billing, subscription plans, or custom contracts.
– Full payment or the first agreed-upon milestone must be paid before commencement of any work.
– Invoices are due according to the terms stated on the invoice (usually within 7 or 14 days).
– Any late payments may result in delayed delivery or the suspension of ongoing services.
– Continued non-payment may lead to legal action or collections.
5. Intellectual Property
Unless stated otherwise in a written agreement:
– All deliverables (including designs, code, documents, and strategy materials) remain the property of Designodin until full payment has been received.
– Upon full payment, ownership of original project materials is transferred to the client, except for any third-party resources used under license (e.g., stock images, themes, or plugins).
– Designodin retains the right to display non-confidential project work in our portfolio, social media, and marketing materials unless explicitly prohibited by the client.
6. Revisions & Scope Changes
– Each service package includes a set number of revisions, as stated in your proposal or agreement. Revisions beyond this limit may incur extra fees.
– Requests that significantly alter the agreed scope (such as new features, platform changes, or third-party tool integration) may require a new quote or agreement.
– Scope creep can delay project timelines and result in additional billing if not discussed and approved in advance.
7. Third-Party Services
Designodin often integrates with or recommends third-party platforms and services (such as Shopify, Printful, CRM tools, email platforms, etc.). While we make every effort to guide and support clients in using these tools:
– We are not responsible for downtime, errors, changes, or performance issues caused by these third-party platforms.
– Clients are responsible for maintaining their own subscriptions, licenses, and compliance with those services.
– We may assist with setup and technical support, but long-term maintenance of third-party services falls outside the scope unless stated otherwise.
8. Refund Policy
– We do not offer refunds for any of our services. All purchases are final.
– Due to the customized and labor-intensive nature of our work, no refunds will be issued once payment has been made, regardless of project status.
– This includes all service types — whether development, design, consulting, or subscriptions.
– By agreeing to work with Designodin, you acknowledge and accept this no-refund policy without exception.
9. Termination
Either party may terminate the service agreement with written notice. Grounds for immediate termination by Designodin include:
– Breach of these Terms
– Failure to pay on time
– Abusive communication or fraudulent activity
Upon termination:
– All outstanding invoices become immediately due.
– Access to any incomplete work may be restricted until dues are cleared.
– Clients will be provided with deliverables corresponding to the work completed and paid for.
10. Limitation of Liability
Designodin is not liable for indirect, incidental, special, or consequential damages (including loss of revenue, data, or goodwill) arising out of or related to your use of our services. Our total liability is strictly limited to the amount paid by the client for the specific service that caused the claim. By using our services, you agree that this limitation of liability is fair and reasonable.
11. Privacy
We take your privacy seriously. All data shared with us is handled in accordance with applicable privacy laws. Please refer to our [Privacy Policy] for comprehensive information on how we collect, use, store, and protect your personal and business data.
12. Changes to Terms
We reserve the right to amend these Terms at any time. Updated Terms will be posted on our website with the most recent “Last updated” date at the top of the page. Continued use of our services after changes implies your acceptance of the revised Terms.
